Terms of Service

1. Overview of the Service

Tellar is an enterprise relationship manager (ERM) that helps individuals and organizations recall, contextualize, and retrieve meeting and communication data. The platform uses AI to generate insights from meetings, emails, and other communication platforms integrated by the user.

2. Eligibility

You must be at least 13 years old to use our Services. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization.

3. Account Registration

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of unauthorized use.

4. Authorized Users and Organizations

Organizations may manage and control access to accounts associated with their domain. If your account is provided by an organization, that organization may have the right to access or delete your data. Your organization may also restrict or terminate your access.

5. Subscriptions and Payments

Some features of the Services may require payment. By subscribing, you authorize Tellar or its payment processor to charge your payment method on a recurring basis. Subscription fees are non-refundable unless otherwise stated. Tellar reserves the right to change pricing and features with advance notice.

6. License and Usage Rights

Tellar grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal use, subject to these Terms. You may not reverse engineer, decompile, or attempt to extract the source code of the Services. Unauthorized use is strictly prohibited.

7. User Content and Data

You retain ownership of all content and data you provide. You grant Tellar a license to use, reproduce, process, and display your content as necessary to provide the Services. You must ensure you have the legal rights to share any content you upload or connect via integrations.

8. Feedback

You may provide feedback or suggestions about the Services. You grant Tellar a perpetual, royalty-free, irrevocable license to use and incorporate your feedback without any obligation to you.

9. Prohibited Conduct

You agree not to:

• Use the Services for illegal or unauthorized purposes
• Infringe on intellectual property rights
• Interfere with or disrupt the Services
• Access the Services in a way that could damage or disable our infrastructure
• Upload or transmit viruses or malicious code

11. Data Retention and Deletion

We retain your data for as long as necessary to provide our Services or comply with legal obligations. You may request deletion of your data. We may retain anonymized or aggregated data for analytics and product improvement.

12. Third-Party Services and APIs

Our Services may allow you to connect to third-party platforms (e.g., Google, Microsoft, Zoom). By using these integrations, you agree to the data sharing and use terms set by those platforms. Tellar is not responsible for their practices.

13. Intellectual Property

All Tellar trademarks, logos, and proprietary technology are the property of Tellar. You may not use our branding or content without written permission.

14. Service Modifications and Termination

We reserve the right to suspend, discontinue, or modify the Services at any time with or without notice. We may terminate your access if you violate these Terms or applicable laws.

15. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free.

16. Limitation of Liability

To the maximum extent permitted by law, Tellar shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the amount paid by you in the twelve months preceding the claim, or $100, whichever is greater.

17. Indemnification

You agree to indemnify and hold harmless Tellar and its affiliates, officers, employees, and agents from any claims or damages arising from your use of the Services, your content, or your violation of these Terms.

18. Dispute Resolution and Arbitration

Except where prohibited, any disputes will be resolved through binding arbitration on an individual basis. You waive the right to participate in class actions or jury trials. If you are located in the U.S., arbitration will be administered by the AAA under its Consumer Arbitration Rules.

19. DMCA and Copyright Complaints

If you believe your copyrighted work has been used in violation of copyright laws, contact us at legal@tellar.ai with appropriate takedown notices under the DMCA.

20. Government Use Rights

If you are a U.S. government entity, the Services are provided as "commercial computer software" and subject to restrictions as set forth in FAR 12.212 and DFARS 227.7202.

21. Export Compliance

You may not use or export the Services in violation of U.S. export laws or regulations.

22. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes. Continued use after changes means you accept the updated Terms.
